DealSage is a software tool designed to assist with analysis and research—it is not a financial advisor, investment advisor, legal counsel, or any other type of professional consultant, and owes no fiduciary duty to you. The outputs generated by DealSage are intended for informational purposes only and should not be relied upon as the sole basis for any financial, investment, legal, or business decision.

3. Your Content

When you use our Services, you may upload, submit, or otherwise provide content, including documents, data, and other materials ("Your Content"). Your Content remains yours. These Terms do not grant us any ownership rights in Your Content except for the limited rights necessary to provide the Services.

You are solely responsible for Your Content. This includes responsibility for the accuracy, legality, and appropriateness of Your Content, and for ensuring you have the necessary rights and permissions to upload and use it. We are not responsible for reviewing, monitoring, or verifying Your Content.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. DealSage does not control and is not responsible for these third-party services, including their availability, content, or practices. Your use of third-party services is at your own risk and subject to their respective terms and policies.

7. Fees and Payment

Certain features of the Services may require payment of fees. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms or required by law. We may change our fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

8. Aggregated Data and Benchmarking

We may create aggregated and anonymized data derived from your use of the Services ("Aggregated Data"). Aggregated Data does not identify you or any individual and may be used for purposes including benchmarking features, improving the Services, research, and generating industry insights. This is separate from AI model training—we do not use Your Content to train AI models. 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALSAGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DEALSAGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless DealSage and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules.
